OpenExchangeAPI License Agreement

Overview

OpenExchangeAPI provides access to foreign exchange rate data through our API under the following license terms. By using our API, you agree to comply with these terms.

1. License Grant

OpenExchangeAPI (“Licensor”) hereby grants the Subscriber (“Licensee”) a non-exclusive, non-transferable, revocable license to access and use the API and its associated data strictly in accordance with the terms of this agreement and your selected subscription plan.

2. Usage Restrictions

Licensee agrees to the following restrictions:

• No redistribution or reselling of raw or derived API data to third parties without explicit written consent.
• No automated scraping or reverse engineering of the API.
• API access is limited to the rate limits and endpoints defined by your subscription plan.
• You must not use the API for unlawful, harmful, or misleading purposes.

3. Ownership

All rights, titles, and interests in the API, the underlying software, the exchange rate data, and all related documentation are and shall remain the exclusive property of OpenExchangeAPI Inc. and its licensors. No part of this agreement shall be construed to grant the Licensee any ownership rights, intellectual property interest, or title in the API or its data. All rights not expressly granted in this agreement are reserved by OpenExchangeAPI.

4. Availability & Uptime

OpenExchangeAPI maintains a highly available infrastructure designed for reliability and fault tolerance. We target:

• 99.9% uptime for Pro plans
• 99.99% uptime for Enterprise plans

These targets reflect our infrastructure design and monitoring standards. However, uptime guarantees are only enforceable if explicitly defined in a formal Service Level Agreement (SLA). For custom SLA agreements, please contact our sales team.

5. Termination

We may suspend or revoke your access if:

• You violate these terms.
• You exceed your usage limits repeatedly or egregiously.
• Your payment method fails or subscription is cancelled.

6. Data Retention

Licensee agrees to the following data retention policies:

• Free Tier: Data is retained for 7 days.
• Pro Tier: Data is retained for 90 days.
• Enterprise Tier: Data is retained indefinitely, subject to the terms of your SLA.
• Licensee is responsible for managing and archiving data as per their own compliance and business needs.

7. Limitation of Liability

To the maximum extent permitted by law, OpenExchangeAPI is not liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use the API.

8. Modifications

We reserve the right to update or change this license at any time. Continued use of the API after changes constitutes acceptance of the new terms.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California. You hereby consent to the personal jurisdiction of such courts.

Disclaimer Nothing in this Agreement shall be construed to create a partnership, agency, joint venture, or fiduciary relationship between the parties. Both parties agree they are acting independently and do not have the authority to bind the other party.
