This document outlines the terms and conditions for using OpenExchangeAPI. By using our services, you agree to be bound by these terms.

1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms. These Terms form a legally binding agreement between you and OpenExchangeAPI Inc. If you do not agree with these terms, do not access or use the Service.
2. Eligibility
You must be at least 18 years old to use this Service. By using OpenExchangeAPI, you confirm that you meet this requirement and are legally eligible to form a binding contract.
3. License and Access
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the API in accordance with your selected subscription plan. This license does not permit:
- Reselling or redistributing API responses.
- Using the API in illegal, fraudulent, or high-risk operations.
- Interfering with the API service or attempting to bypass rate limits.
- Reverse engineering, scraping, or cloning of the API endpoints or data.
4. Subscription Plans
Free Tier
Basic access, limited rate caps, attribution required.
Pro Tier
Paid access with higher usage limits, extended retention, and improved support.
Enterprise Tier
Custom plan with SLA-backed guarantees, priority support, and high-volume options.
Upgrades, downgrades, and cancellations can be managed via the dashboard. Billing is monthly or annual.
5. API Key Security
You are solely responsible for maintaining the confidentiality of your API key. Any activity using your key is considered authorized. We recommend rotating keys periodically and not exposing them publicly.
6. Rate Limits & Fair Use
Each plan enforces documented rate limits. If you exceed limits:

status may be returned. - Access may be throttled or suspended.
- Repeated abuse may result in permanent revocation.
We enforce fair use to protect overall platform integrity.
7. Data Accuracy and Use
We aggregate rates from reputable financial sources and apply validation checks. However:
- Data is provided “as-is” with no guarantee of accuracy or fitness.
- Use in regulated financial applications or compliance workflows must be backed by an SLA.
Do not rely on the data for legal, financial, or tax obligations without cross-verification.
8. Service Availability & SLA
We strive to provide:
- 99.9% uptime for Pro users
- 99.99% uptime for Enterprise clients
Important: These are internal targets. Only customers with a formal Service Level Agreement (SLA) are entitled to compensation or recourse in the event of downtime.
Downtime may occur due to maintenance, upgrades, or external network disruptions.
9. Support Levels
- Free Tier: GitHub issues or community forums
- Pro Tier: Email + ticket-based support (within 24 hours)
- Enterprise Tier: Dedicated support rep, on-call escalation, SLA enforcement
10. Modifications
We reserve the right to update or remove endpoints, features, or pricing. Major changes will be communicated via dashboard alerts or email notices.
11. Termination
We may terminate your access at any time, without refund, if:
- You breach these terms.
- Your usage threatens system stability or exceeds fair limits.
- You misuse or abuse platform access.
You may terminate your account by canceling your subscription via the dashboard.
12. Intellectual Property
All API content, endpoints, documentation, and branding are the intellectual property of OpenExchangeAPI Inc. You may not reproduce, copy, or modify any part of the service without written permission.
13. Indemnification
You agree to indemnify, defend, and hold harmless OpenExchangeAPI, its affiliates, officers, employees, and licensors from any claims, damages, or liabilities arising from:
- Your use of the API
- Your breach of these Terms
- Your violation of applicable laws
14. Limitation of Liability
To the extent permitted by law, OpenExchangeAPI shall not be liable for indirect, incidental, or consequential damages, including but not limited to lost profits, data loss, or business interruption.
15. Governing Law
These Terms shall be governed by the laws of the State of California, United States. Any legal disputes shall be handled exclusively in the courts of Los Angeles County, California.
16. Disclaimer
These Terms do not establish a joint venture, partnership, agency, or fiduciary relationship. Each party remains an independent contractor.
